The field is marked by uncertain boundaries and a fragmented regulatory framework that has significantly shaped its development. It remains, to a large extent, a work in progress, evolving primarily through case law within the domain of insolvency law in action. This study builds on a systematic analysis of judicial decisions on the abusive granting of credit. It shows how unstable the line remains between “worthy” financing and “abusive” lending. This uncertainty creates practical difficulties. Banks struggle to make fully informed lending decisions, while courts face challenges in assessing liability. The result is a lack of legal certainty. Against this background, the assessment of creditworthiness emerges as the key normative benchmark. It plays a central role in evaluating banking conduct, especially when read in light of prudential supervision rules and the principle of sound and prudent management. After defining the current structure of liability for the abusive granting of credit, the analysis turns to the “physiological” dimension of financing distressed companies. This is examined within the framework of the Italian Insolvency and Crisis Code. Although the Code does not expressly codify this form of liability, it reshapes the system of distressed financing. It strengthens negotiated restructuring tools and introduces a more procedural approach to lending. The study then examines the role and duties of banks and financial intermediaries in managing corporate distress. The aim is to identify the conditions under which financing is considered legitimate – or even encouraged – within these frameworks. Finally, the study addresses whether a residual space still exists for lawful lending outside formal restructuring procedures. It defines the limits of such financing and explores its implications in terms of liability. The broader goal is to offer a coherent framework for the subject. La materia è caratterizzata da confini ampi e sfuggenti e si colloca all’interno di un frastagliato quadro normativo che ne ha notevolmente condizionato lo sviluppo. Essa, in effetti, appare tutt’oggi in costruzione, la quale si sta operando (quasi) esclusivamente nel contesto del diritto “concorsuale” vivente. Muovendo da una ricostruzione sistematica degli orientamenti giurisprudenziali in materia di concessione abusiva del credito, l’indagine evidenzia una certa labilità di quella sottile linea di confine che separa il finanziamento «meritevole» da quello «abusivo», con conseguenti difficoltà, sul piano applicativo, sia per la banca di assumere una decisione consapevole circa l’erogazione del credito, sia per il giudice in sede di accertamento della responsabilità, con risultati insoddisfacenti in termini di certezza del diritto. In tale quadro, rilievo centrale assume l’obbligo di valutazione del merito creditizio, il quale, ponendosi come riferimento normativo di maggior prossimità rispetto al tema in questione, diviene elemento cardine nella valutazione della condotta bancaria, anche alla luce della disciplina di vigilanza prudenziale e del principio di sana e prudente gestione. Delineata, sul piano sostanziale, l’attuale configurazione della responsabilità da concessione abusiva del credito all’impresa in crisi e, dunque, la patologia della concessione del credito all’impresa in crisi, l’analisi si estende alla dimensione fisiologica del finanziamento all’impresa in crisi, così come articolata nel quadro normativo (non sempre così ordinato) tessuto dal Codice della crisi d’impresa e dell’insolvenza, il quale, pur non tipizzando espressamente la responsabilità da concessione abusiva del credito, ridefinisce il quadro sistematico dei finanziamenti all’impresa in crisi, valorizzando gli strumenti di regolazione negoziale e introducendo un modello procedimentalizzato di erogazione del credito. In tale prospettiva, vengono esaminati, nel dettaglio, il ruolo e i doveri delle banche e degli intermediari finanziari nella gestione della crisi d’impresa, cercando di definire le forme e le modalità proprie delle diverse ipotesi tipizzate di legittima (e financo favorita) concessione di credito all’impresa in crisi all’interno della composizione negoziata per la soluzione della crisi d’impresa, del concordato preventivo e degli accordi di ristrutturazione dei debiti. In conclusione, si affronta il problema della configurabilità di uno spazio – pur residuale – di legittima concessione del credito a favore di un’impresa in crisi anche al di fuori dello spazio protetto dei procedimenti tipizzati di gestione della crisi previsti dal Codice della crisi, interrogandosi sui limiti e sulle condizioni di legittimità di tali operazioni di finanziamento e sulle conseguenti implicazioni in termini di responsabilità.
