Abstract
dc:descriptionThis research work analyses the theme - which has recently aroused great interest of doctrine and jurisprudence - of the possibility, by company’s creditors, of bringing an “azione revocatoria ordinaria” (also called actio pauliana; regulated by art. 2901 of the Italian Civil code) of “scissione societaria” (demerger). This is a matter of whether the latter can protect themselves from the damage, that they can suffer as consequence of “scissione societaria”, by using - in addition to the special remedies - also a “general” mean for protecting credit, such as “azione revocatoria”. The first part of the discussion analyzes - and overcomes - the (potential) normative and systematic obstacles, that could exclude a priori the possibility of bringing an actio pauliana of “scissione societaria”. These consist of the profound differences between the “contract of civil law” (e.g. a sale) and “scissione societaria”, the foreclosures - set out by Italian and EU law - regarding the invalidity of “scissione societaria” as well as a (supposed) principal of typicality of the special remedies which protect the company’s creditors in the case of “scissione”. The second chapter seeks to demonstrate that (also) a “scissione societaria” can be classified as a “revocable” act under art. 2901 c.c., although the conditions provided for by that rule had been outlined using the “contract of civil law” concluded by a natural person as a model. The last part of this work explores the consequences arising from the admission of an “azione revocatoria” of the “scissione societaria” and focuses in particular on the implications for the third parties (first of all, company’s creditors and other stakeholders).
