CBs are regulated in Turkish Commercial Code (Nr: 6102), Capital Market Law (Nr: 6362) and Communiqué on the Principles Regarding Board Registration and Sale of Debt Securities (Series:II Nr:22).In this study, CBs are examined within the framework of aforementioned regulations with different aspects in three chapters. In the first chapter the conceptual framework of CBs and the historical developments in Turkey and in other foreign law systems are explained. In addition, legal characteristics of CBs are examined and CBs are compared to the similar financial instruments.The second chapter presents incorporated companies? issue process of CBs in Turkey.The third chapter focuses on the rights and obligations of incorporated companies and the owners of CBs. In addition, this chapter aims to present some problems that may arise, such as recruitment of the shares to be presented to the owner of CBs in the process of conversion.
